These Terms of Service ("Terms") govern the use of the Bulfinex Industry 4.0 SaaS platform (the "Service") provided by Graviti Labs ("Bulfinex", "we", "us") at https://bulfinex.com/industry. By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
Key terms used in these Terms have the following meanings:
- "Service": the Bulfinex Industry 4.0 platform, including dashboards, the device catalog, telemetry processing, alarms, OEE, energy and reporting modules, and all related APIs and interfaces.
- "Customer": the legal entity or individual subscribing to the Service.
- "User": any individual accessing the Service under a Customer account (administrator, team member, operator, etc.).
- "Customer Data": all data uploaded to the Service by the Customer or its Users, or transmitted via connected devices, including factory, machine and device metadata as well as production, energy and sensor telemetry.
- "Subscription": the paid right to use the Service under a selected plan (Starter, Professional or Enterprise).
- "Graviti Labs": the brand operating the Service; contact info@gravitilabs.com.
2. The Service
Bulfinex is a multi-tenant Industry 4.0 SaaS platform. The Service covers defining factory and machine assets, collecting telemetry from field devices (sensors, gateways, meters), monitoring production and energy data, alarm and maintenance management, OEE and quality analytics, and optional AI-assisted insights.
The Service is a software service provided on a subscription basis; hardware sales, on-site installation, and engineering consultancy are not included unless separately agreed in writing. The modules available may vary depending on the selected plan.
3. Account Registration and Team Roles
To use the Service you must create an account with accurate and current information (name, company, email, phone, city, industry). You are responsible for keeping your account information accurate and up to date.
The Customer may invite team members to its account and assign them different permission levels (roles). The Customer is responsible for all activity occurring under its account, including the actions of its Users. You must keep credentials confidential and notify us immediately at info@gravitilabs.com if you suspect unauthorized access.
The Service is intended for businesses (B2B); the person creating the account must be at least 18 years old and authorized to enter into contracts on behalf of the business they represent.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. The following are expressly prohibited:
- Using the Service for any purpose that violates applicable law,
- Attempting to access the source code of the Service, reverse engineering, decompiling, or creating derivative works,
- Reselling, renting, sublicensing, or offering the Service to third parties on a service-bureau basis without our written permission,
- Circumventing security mechanisms, scanning for vulnerabilities, or attempting to access other tenants' data,
- Uploading malicious code or sending automated requests that place unreasonable load on the Service infrastructure,
- Transmitting content through the Service that infringes third-party intellectual property or privacy rights.
5. Customer Data Ownership and License
All right, title and interest in and to Customer Data remain with the Customer. Machine telemetry (production, energy and sensor time-series) is treated as the Customer's business data and is processed on the Customer's behalf.
The Customer grants Graviti Labs a worldwide, non-exclusive, limited license to host, copy, transmit and display Customer Data solely to provide, maintain, secure and improve the Service. This license grants no rights of use beyond what is necessary to operate the Service.
The Customer represents that it has all rights and permissions necessary to collect and transfer to us the data it submits to the Service. The Service provides data export functionality; following account closure, Customer Data is deleted within 30 days, and backup copies are destroyed within a maximum of 90 days.
6. Service Levels and Availability
We use commercially reasonable efforts to provide the Service without interruption or error; however, no uptime guarantee is provided under standard plans. Planned maintenance is announced in advance where possible.
The Service depends on factors outside our control, including internet connectivity and correct configuration of field devices and gateways. The accuracy of telemetry depends on correct installation and calibration of on-site devices and sensors. The Service must not be used as a safety-critical control system and does not replace machine safety systems.
A separate service level agreement (SLA) may be agreed in writing for Enterprise customers.
7. Trials, Subscriptions and Billing
The Service is offered with a 14-day free trial. If a paid plan is not selected by the end of the trial, account access may be restricted.
Paid plans are billed monthly: Starter USD 99/month, Professional USD 499/month, Enterprise USD 1,500/month. Payments are collected through the iyzico payment infrastructure; your card details are processed by iyzico and are never stored by us.
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months, except where required by applicable law. Taxes (VAT, etc.) may be added to prices as required by law.
8. Price Changes
We reserve the right to change plan prices. Price changes will be notified to existing subscribers by email at least 30 days in advance and will take effect only from the next renewal period. If you do not accept a change, you may cancel your subscription before the renewal date.
9. Suspension and Termination
We may suspend or terminate your access to the Service with prior notice, or immediately in cases of serious breach, in the following situations:
- Failure to meet payment obligations when due,
- Breach of these Terms, in particular the acceptable use rules,
- Use that threatens the security of the Service or other customers,
- A legal requirement or an order of a competent authority.
- The Customer may terminate its subscription at any time through the dashboard or by writing to info@gravitilabs.com. Upon termination, the Customer is given the opportunity to export its data before the account is closed.
10. Intellectual Property
The Service, software, interfaces, designs, trademarks (including Bulfinex), documentation, and all related intellectual property rights belong to Graviti Labs or its licensors. These Terms grant you only a non-exclusive, non-transferable, limited right to use the Service during your subscription and transfer no other rights.
We may use suggestions and feedback you provide about the Service for product development without any obligation to you.
11. Confidentiality
Each party will use the other party's confidential information (including pricing, technical information, trade secrets and Customer Data) solely to perform under these Terms and will protect it with at least the same degree of care it uses for its own confidential information, and will not disclose it to third parties.
Information that is publicly available, independently developed, or required to be disclosed by law is excluded from confidentiality obligations; where disclosure is legally required, the disclosing party will, where legally permitted, notify the other party before disclosure.
12. Limitation of Liability
To the maximum extent permitted by applicable law: (a) Graviti Labs' total aggregate liability arising out of or related to these Terms or the Service is limited to the total fees actually paid by the Customer for the Service in the 12 months preceding the event giving rise to liability; (b) neither party shall be liable for loss of profit, loss of production, loss of data, loss of goodwill, or any indirect, incidental, special or consequential damages.
These limitations do not apply in cases of willful misconduct or gross negligence, or to liability that cannot be limited under applicable law. The requirement that the Service must not be used as a safety-critical system remains unaffected.
13. Indemnity
The Customer agrees to defend Graviti Labs against third-party claims arising from allegations that (a) Customer Data infringes third-party rights, or (b) the Service was used in violation of these Terms or applicable law, and to indemnify Graviti Labs for reasonable damages, costs and expenses arising from such claims.
Graviti Labs will defend the Customer against claims alleging that the Service itself infringes third-party intellectual property rights; in such a case we reserve the right to make the Service non-infringing or to terminate the subscription and refund fees for the remaining period.
14. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, strikes, general internet or power outages, cyber attacks, or acts of competent authorities. If a force majeure event continues for more than 30 days, either party may terminate the agreement by written notice. Payment obligations are not excused by force majeure.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in the Service at least 30 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not accept a change, you may terminate your subscription before the effective date.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of İstanbul (Çağlayan) shall have jurisdiction over disputes arising out of or in connection with these Terms. Mandatory statutory rights of users qualifying as consumers remain unaffected.
17. Severability and Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force; the invalid provision is deemed replaced by a valid provision that most closely reflects its intent. Failure to exercise a right does not constitute a waiver of that right. The Customer may not assign its rights or obligations under these Terms without our written consent.
These Terms, together with the Privacy Policy, the KVKK Disclosure and the Cookie Policy, constitute the entire agreement between the parties.
